Terms & Conditions

These Terms and Conditions govern your use of the services offered by JSM Law. By engaging our services or submitting an inquiry, you confirm that you have read and understood these terms and agree to be bound by them.

1. Definitions

The following terms carry specific meanings throughout this document:

  • "Agreement" — These Terms and Conditions, together with any service proposal, engagement letter, or written confirmation exchanged between JSM Law and the Client.
  • "Service" / "Services" — The administrative workshops, bilingual materials development, and office technology advisory engagements offered by JSM Law as described on our website and in service proposals.
  • "We / Us / Our" — JSM Law, operating from Suite 201, 6375 Dixie Road, Mississauga, Ontario L5T 2E7.
  • "Client" / "User" / "You" — Any individual, business, or organisation that engages JSM Law for services or accesses our website.
  • "Deliverables" — Documents, reports, training materials, translated files, or other outputs produced as part of a service engagement.
  • "Content" — Any written, visual, or electronic material made available through our website or shared during a service engagement.

2. Acceptance of Terms

By submitting an inquiry, signing a service proposal, making a payment, or attending a session, you confirm your acceptance of these Terms and Conditions in full.

  • You must be at least 18 years of age and legally capable of entering a binding agreement.
  • If you are entering this Agreement on behalf of a company or organisation, you confirm that you have authority to do so.
  • If you do not accept these terms, please do not engage our services or submit personal information through our website.

3. Service Description

JSM Law provides administrative and operational support services for organisations and professional offices. Our current offerings include:

Document Preparation Skills Workshop

A 3-hour in-person or online session covering document formatting, pagination, exhibit labelling, quality review processes, and preparation of complete document packages. The workshop is educational and administrative in scope. No guidance on document content, legal strategy, or individual matters is provided.

Bilingual Client Materials Development

A 5-week engagement covering content inventory, plain-language rewriting, coordinated translation into Punjabi or another paired language, layout alignment, and community readability testing. Delivered with two revision rounds and print-ready and web-ready output files.

Office Technology Adoption Advisory

An 8-week advisory engagement covering needs assessment, software evaluation, data migration sequencing, phased rollout planning, role-based training, and 30- and 90-day adoption reviews. Scope is operational and process-focused.

We do not provide legal advice, legal representation, regulated professional services, or services requiring a professional licence. Nothing provided by JSM Law constitutes professional legal, financial, or medical advice.

4. User Responsibilities

As a Client, you agree to:

  • Provide accurate and complete information when engaging our services or submitting inquiries.
  • Respond to requests for information or materials within reasonable timeframes to avoid delays.
  • Use our services and any deliverables for lawful purposes only.
  • Not reproduce, resell, or redistribute our materials or methodologies to third parties without written permission.
  • Maintain the confidentiality of any proprietary processes, frameworks, or templates shared during service delivery.
  • Not use our services to facilitate any activity that contravenes applicable Canadian law or professional regulatory standards.

5. Intellectual Property

All intellectual property in our website content, service methodologies, frameworks, checklists, training materials, and templates remains the property of JSM Law unless otherwise agreed in writing.

Upon full payment for a service engagement, you receive a limited, non-exclusive, non-transferable licence to use the deliverables produced specifically for your organisation for your internal operational purposes.

You may not sub-license, resell, or publicly distribute deliverables without prior written consent from JSM Law.

6. Payment Terms

All fees are quoted and payable in Canadian dollars (CAD). Current service fees are:

  • Document Preparation Skills Workshop — CAD 150 per session
  • Bilingual Client Materials Development — CAD 490
  • Office Technology Adoption Advisory — CAD 920
  • Payment terms and accepted methods are confirmed in the service proposal or engagement letter.
  • Workshop fees are due in advance of the session date unless otherwise agreed.
  • For multi-week engagements, invoicing schedules are set out in the applicable service proposal.
  • Cancellations must be communicated in writing. Cancellations within 48 hours of a scheduled session may be subject to a cancellation fee as noted in the service proposal.
  • JSM Law reserves the right to adjust pricing for future engagements with reasonable advance notice.

7. Service Delivery

Delivery timelines and scope are confirmed in the service proposal or engagement letter. The following general conditions apply:

  • Timelines assume timely receipt of required materials and information from the Client.
  • Material changes to scope requested after an engagement commences may affect timeline and fee, and will be agreed in writing.
  • JSM Law will make reasonable efforts to maintain scheduled sessions and delivery dates. Significant disruptions will be communicated promptly.
  • Deliverables are considered accepted if no written objection is received within five (5) business days of delivery.
  • Revision rounds included in a service are defined in the service proposal; additional revisions may be available at an agreed additional fee.

8. Disclaimers

  • Services are provided on an "as available" basis. JSM Law does not warrant that services will be uninterrupted or error-free.
  • Administrative and educational services do not substitute for qualified legal, financial, or professional advice. Clients are encouraged to seek independent professional guidance where appropriate.
  • We do not warrant any specific outcome from the use of our services or deliverables.
  • Information provided on our website is for general informational purposes only and should not be relied upon for individual decision-making.

9. Limitation of Liability

To the extent permitted by applicable law:

  • JSM Law's total liability to you for any claim arising out of or in connection with a service engagement shall not exceed the fees paid by you for that specific engagement.
  • JSM Law shall not be liable for indirect, consequential, incidental, or special damages, including loss of revenue or business opportunity, arising from the use of or inability to use our services.
  • Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded by law.
  • Force majeure: we are not liable for delays or failures in performance resulting from causes beyond our reasonable control.

10. Indemnification

You agree to indemnify and hold JSM Law harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of our services, breach of these Terms, or provision of inaccurate information that causes loss or harm.

11. Termination

  • Either party may terminate an engagement by providing written notice in accordance with the timeline set out in the service proposal.
  • JSM Law may suspend or terminate service delivery if payment obligations are not met or if the Client breaches these Terms.
  • Upon termination, fees for work completed to the termination date remain payable. Prepaid fees for work not yet commenced may be refunded at JSM Law's discretion.
  • Provisions relating to intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.

12. Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

  • In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion within 30 days of the dispute arising.
  • If informal resolution is not achieved, either party may pursue mediation before proceeding to formal legal proceedings.
  • Any legal proceedings shall be conducted in the courts of Ontario, with Mississauga or Toronto as the venue, unless otherwise agreed.
  • Canadian consumer protection legislation applicable in Ontario governs consumer transactions to the extent required by law.

13. General Provisions

  • Entire Agreement: These Terms, together with the applicable service proposal or engagement letter, form the entire agreement between the parties.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations under these Terms without written consent from JSM Law. We may assign our obligations to a successor entity.
  • Notices: Formal notices should be sent by email to [email protected] or by mail to Suite 201, 6375 Dixie Road, Mississauga, ON L5T 2E7.

14. Changes to Terms

JSM Law may update these Terms periodically. Material changes will be communicated via our website or by direct notice to active clients. The "Last Updated" date at the top of this page reflects the most recent revision.

Your continued use of our services after changes are published constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
